These Terms of Service ("Terms") govern your access to and use of Answered Instantly, a product of SYSTIMZ LLC ("SYSTIMZ," "we," "us," or "our"). By creating an account or using the service, you agree to be bound by these Terms.
1. Service Description
Answered Instantly is an AI-powered project communication platform that allows construction project teams — including project managers, clients, and contractors — to ask questions about project documents and receive automated responses. The service is provided on a subscription and on-demand basis as described in our pricing terms.
2. Eligibility
You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your organization. By using this service, you represent that you meet these requirements.
3. Account Registration
You may sign in using a Google account. You are responsible for:
- Keeping your login credentials secure
- All activity that occurs under your account
- Notifying us immediately of any unauthorized use at sales@systimz.com
We reserve the right to suspend or terminate accounts that violate these Terms.
4. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose or in violation of any applicable laws
- Attempt to gain unauthorized access to other users' data or project information
- Upload documents containing malicious code, viruses, or harmful content
- Reverse engineer, copy, or resell any portion of the platform without written permission
- Use the service in a way that disrupts or damages our infrastructure
- Misrepresent your identity or organizational affiliation
5. Your Content and Data
You retain ownership of all documents, files, and project data you upload to the platform ("Your Content"). By uploading content, you grant SYSTIMZ a limited license to process and store Your Content solely for the purpose of providing the service to you.
We do not sell, share, or use Your Content to train AI models. Your project data is used exclusively to generate responses within your project context.
6. AI-Generated Responses
Answered Instantly uses AI to generate responses based on the documents you upload. You acknowledge that:
- AI responses are based on the content of uploaded documents and may not reflect real-time conditions
- Responses should not be relied upon as legal, financial, or professional advice
- SYSTIMZ is not responsible for decisions made based on AI-generated responses
- You are responsible for verifying the accuracy of any information before acting on it
7. Payment Terms
Setup fees are due prior to project onboarding. Monthly managed support is billed in advance. On-call support is billed upon completion of work. All fees are non-refundable unless otherwise agreed in writing. Setup fees do not include third-party infrastructure, hosting, or API costs, which are billed separately at cost.
8. Service Availability
We strive for high availability but do not guarantee uninterrupted service. The platform depends on third-party infrastructure including cloud services and AI providers. We are not liable for downtime caused by third-party service failures.
9. Confidentiality
We treat your project documents and data as confidential. We will not disclose Your Content to third parties except as required by law or as necessary to provide the service (e.g., AI processing providers under confidentiality obligations).
10. Intellectual Property
The Answered Instantly platform, including its design, code, and branding, is the intellectual property of SYSTIMZ LLC. You may not copy, reproduce, or create derivative works without written permission. Your Content remains your property.
11. Termination
Either party may terminate service with 30 days written notice. Upon termination, your access will be revoked and your data will be deleted within 60 days unless you request an export. SYSTIMZ may terminate accounts immediately for violations of these Terms.
12. Limitation of Liability
To the maximum extent permitted by law, SYSTIMZ shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the service. Our total liability to you for any claim shall not exceed the amount you paid to us in the three months preceding the claim.
13. Disclaimer of Warranties
The service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
14. Governing Law
These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of New Jersey.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the platform. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.
